1. Introduction
Welcome to Clientrue. These Terms of Service ("Terms") govern your access to and use of the Clientrue platform, including any related services, features, and applications (collectively, the "Service") provided by TrueThinks Ltd ("Company", "we", "us", or "our").
By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
These Terms apply to users in the United Kingdom, European Union, Türkiye, and all other jurisdictions where the Service is available.
2. Definitions
- "Account" means a unique account created for you to access our Service.
- "Customer" means the entity or individual that has agreed to these Terms and uses the Service.
- "User" means any individual who accesses or uses the Service under a Customer's Account.
- "Customer Data" means all data, including personal data, that you submit to the Service.
- "Subscription" means the paid access to the Service for a defined period.
- "Tenant" means a separate, isolated instance of the Service for each Customer.
3. Account Registration
To use the Service, you must create an Account. When creating an Account, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your Account information
- Keep your password secure and confidential
- Be responsible for all activities under your Account
- Notify us immediately of any unauthorized access
You must be at least 18 years old to create an Account. By creating an Account, you represent and warrant that you have the legal authority to bind yourself or your organisation to these Terms.
4. Service Description
Clientrue is a cloud-based customer relationship management platform that enables businesses to:
- Manage contacts, companies, and customer relationships
- Track sales opportunities and deals
- Create and manage marketing campaigns
- Handle customer support tickets
- Generate reports and analytics
- Integrate with third-party services
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice where practicable.
5. Subscriptions and Payment
5.1 Subscription Plans
The Service is offered through various subscription plans with different features and pricing. Details of current plans are available on our website. We may offer a free trial period for new Customers.
5.2 Payment Terms
- Fees are charged in advance on a monthly or annual basis
- All fees are exclusive of applicable taxes (VAT, KDV, etc.)
- Payment is due upon invoice or as specified in your plan
- Failed payments may result in service suspension
5.3 Price Changes
We may change our prices with at least 30 days' notice. Price changes will take effect at the start of the next billing cycle.
5.4 Refunds
Annual subscriptions may be eligible for a pro-rata refund within 14 days of purchase if you are not satisfied with the Service. Monthly subscriptions are non-refundable.
6. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws or regulations
- Infringe upon the rights of others
- Send spam or unsolicited communications
- Upload malicious software or code
- Attempt to gain unauthorized access to systems
- Interfere with the Service's operation
- Store or process special category personal data without appropriate safeguards
- Use the Service for any illegal, harmful, or fraudulent activities
We reserve the right to suspend or terminate access for violations of these acceptable use policies.
7. Customer Data
7.1 Ownership
You retain all rights to your Customer Data. By using the Service, you grant us a limited licence to process your Customer Data solely to provide the Service.
7.2 Data Processing
We process Customer Data in accordance with our Privacy Policy and applicable data protection laws, including:
- UK General Data Protection Regulation (UK GDPR)
- EU General Data Protection Regulation (EU GDPR)
- Turkish Personal Data Protection Law (KVKK)
7.3 Data Export
You may export your Customer Data at any time through the Service's export features. Upon termination, we will provide a reasonable period to export your data.
7.4 Data Deletion
Upon account termination, we will delete your Customer Data within 30 days, except where retention is required by law.
8. Intellectual Property
The Service, including its original content, features, and functionality, is owned by TrueThinks Ltd and is protected by international copyright, trademark, and other intellectual property laws.
"Clientrue" and the Clientrue logo are trademarks of TrueThinks Ltd. You may not use these marks without our prior written consent.
9. Third-Party Integrations
The Service may integrate with third-party services (e.g., email providers, social media platforms, payment processors). Your use of such integrations is subject to:
- The third party's terms of service and privacy policy
- Any additional terms we may specify
- Your responsibility to ensure compliance with applicable laws
10. Service Level and Support
We strive to maintain high availability of the Service. While we do not guarantee 100% uptime, we aim for:
- 99.9% uptime for the core Service
- Regular maintenance during low-usage periods
- Advance notice of planned maintenance

11. Limitation of Liability
To the maximum extent permitted by law:
- The Service is provided "as is" without warranties of any kind
- We do not warrant that the Service will be uninterrupted or error-free
- Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim
- We are not liable for indirect, incidental, special, or consequential damages
Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
12. Indemnification
You agree to indemnify and hold harmless TrueThinks Ltd and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
13. Termination
13.1 Termination by You
You may terminate your Account at any time by contacting us or using the Account settings. Termination does not entitle you to a refund except as specified in Section 5.4.
13.2 Termination by Us
We may suspend or terminate your access if:
- You breach these Terms
- Payment is overdue for more than 30 days
- Required by law or regulatory authority
- Your use poses a security risk
13.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. Sections relating to intellectual property, limitation of liability, indemnification, and governing law survive termination.
14. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by:
- Posting the updated Terms on our website
- Sending an email to the address associated with your Account
- Displaying a notice within the Service
Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
15. Governing Law and Jurisdiction
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales, except:
- EU consumers may bring proceedings in their country of residence
- Turkish users may bring proceedings in Turkish courts where required by KVKK
16. General Provisions
- Entire Agreement: These Terms constitute the entire agreement between you and TrueThinks Ltd regarding the Service.
- Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
- Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
- Assignment: You may not assign these Terms without our consent. We may assign our rights and obligations to an affiliate or successor.
- Force Majeure: We are not liable for delays caused by circumstances beyond our reasonable control.
